Overview

The firm advises private equity funds and their associate entities on investments, buyouts, exits, and portfolio management. We support transactions across sectors including green logistics, healthcare, apparel and technology. Our fund focus practise includes structuring, formation, regulatory compliance, and fund documentation for both onshore and offshore investment vehicles. The firm also advises and represents clients in commercial disputes, domestic and international, through its team of specialised arbitration, litigation and mediation experts.

Strategic M&A Advisory
  • Advising and hand holding a Mauritian company being a part of a globally recognised private equity fund in respect of a settlement of a matter adjudicated upon by the Singapore International Arbitration Centre and heard by the Bombay High Court for execution in India and for implementing the settlement terms by facilitating its exit from an Indian warehousing company for consideration other than cash and procuring the prior approval of the Reserve Bank of India for the same.
  • Advised Gruhas Collective Fund, an alternate investment fund for investments in Mighty Steps Private Limited, Oddity Healthcare Private Limited, TFPF Private Limited and Ballr Apparel Private Limited amongst others which included conducting due diligences, drafting, negotiating and finalising transaction documents.
  • Advised Infiheal Healthtech for procuring an investment from Nepean Capital, including drafting, negotiating and finalising transaction documents.
  • Advised NK Holdings in its investment into Greenline Mobility, a green logistics enterprise, advising on the structure, conducting due diligence, advising on FEMA and other exchange control provisions, drafting, negotiating and finalising transaction documents.
  • Representing Bharat Sanchay LLP in obtaining registration as an alternate investment fund category III with SEBI.
  • Advising and representing a developer in proceedings before the Bombay High Court and an arbitral tribunal in respect of a dispute arising from a Debenture Trust Deed and a Deed of Personal Guarantee.
  • Advised and represented an NBFC debenture holder by initiating proceedings before the National Company Law Tribunal against the debenture issuer, under section 7 of the Insolvency and Bankruptcy Code, 2016 .
  • Advised and represented minority debenture holders before the Hon’ble Bombay High Court in proceedings under Section 9 of the Arbitration and Conciliation Act, 1996 for securing outstanding amounts due and payable.
  • Advised and represented an NBFC debenture holder by securing reliefs against the personal and corporate guarantors of the debenture issuer before the Hon’ble Bombay High Court.
