Equity Deals & Advisory
  • Advised Nazara Technologies in acquiring Poker Baazi, India’s leading poker platform in a part cash, part share-swap, primary and secondary transaction.
  • Advised TVS Holdings in its acquisition of a majority stake in Indian subsidiary of a Czech consumer finance group – Home Credit Group.
  • Advised the non-promoter shareholders of a currently listed company while selling their shares in the IPO.
  • Advised a company preparing for its IPO in acquiring, hiving off of various subsidiaries.
  • Advised Shoquba Realty in its issuance and listing non-convertible debentures on BSE to a foreign portfolio investor.
  • Advised a Kumar Properties group company in its issuance and listing non-convertible debentures.
  • Advised and represented a promoter and non – executive director of a large financial service company in proceedings before the Securities and Exchange Board of India for violations of portfolio management regulations and wrongful pledging of client securities.
  • Advised and represented a promoter in a dispute with certain investors, arising out of a proposed acquisition of the company by one of the promoter’s other companies, and ancillary issues in relation thereto, which led to the initiation of oppression and mismanagement proceedings before the Naitional Company Law Tribunal and arbitral proceedings seeking interim reliefs before the Delhi High Court.
  • Advised and successfully represented a leading exchange in a Petition filed under Section 9 of the Arbitration and Conciliation Act, 1996, seeking reliefs against the exchange, despite the exchange not being a party to the arbitration agreement.
  • Advising and successfully defending a leading exchange of this country in an appeal preferred by constituents of a defaulter broker who were availing fixed monthly pay-out services. The findings in this case will have a significant impact since fixed pay-outs are against the fundamental nature of any trading activity on the stock exchange.
