Corporate Commercial
  • Advising and representing one of India’s leading supplier’s of household products and supplies in a commercial dispute arising out of a sale of land in breach of recognised rights and charges before the Bombay High Court and the Debt Recovery Tribunal.
  • Advised and represented minority debenture holders before the Bombay High Court in proceedings under Section 9 of the Arbitration and Conciliation Act, 1996 for securing the outstanding amounts due and payable. The matter also involved securing interim reliefs the personal and corporate guarantors of the Debenture Issuer before the Hon’ble Bombay High Court along with simultaneously approaching the National Company Law Tribunal under Section 7 of the Insolvency and Bankruptcy Act, 2016.
  • Advising and representing the Indian retail portfolio arm of one of the world’s leading investment firms and one of India’s leading mall leasing companies in proceedings pertaining to validation of transactions undertaken by a company in liquidation before the Bombay High Court.
  • Advising and representing a real-estate developer in a joint venture dispute concerning the development of a township project in Pune.
  • Advised and successfully represented a successful auction purchaser before the Hon’ble Supreme Court of India in contempt proceedings against a borrower, and a third party in whose favour the borrower had created third-party rights in the property sold to the auction purchaser. The Hon’ble Supreme Court upheld the sanctity of the auction process as envisaged under the SARFAESI Act, and confirmed the sale of the secured asset.
  • Advised and successfully represented a land owner in challenging the wrongful creation of a security over his land by a developer in conjunction with one of India’s largest housing finance companies, before various fora including but not limited to RERA and the Bombay High Court.
  • Advised and successfully represented an entrepreneur in proceedings before the Bombay High Court pertaining to look-out circulars wrongfully issued by financial institutions against the client.
  • Advising and representing a large power and energy company before the National Company Law Tribunal by intervening in proceedings initiated by a financial institution against the company proposed to be acquired by the intervener.
  • Advised and represented minority debenture holders before the Hon’ble Bombay High Court in proceedings under Section 9 of the Arbitration and Conciliation Act, 1996 for securing outstanding amounts due and payable.
  • Advised and represented an NBFC debenture holder by initiating proceedings before the National Company Law Tribunal against the debenture issuer, under section 7 of the Insolvency and Bankruptcy Code, 2016.
  • Advised and represented an NBFC debenture holder by securing reliefs against the personal and corporate guarantors of the debenture issuer before the Hon’ble Bombay High Court.
  • Advised and represented a promoter and non – executive director of a large financial service company in proceedings before the Securities and Exchange Board of India for violations of portfolio management regulations and wrongful pledging of client securities.
  • Advised and represented a promoter in a dispute with certain investors, arising out of a proposed acquisition of the company by one of the promoter’s other companies, and ancillary issues in relation thereto, which led to the initiation of oppression and mismanagement proceedings before the Naitional Company Law Tribunal and arbitral proceedings seeking interim reliefs before the Delhi High Court.
  • Advised and successfully represented a leading exchange in a Petition filed under Section 9 of the Arbitration and Conciliation Act, 1996, seeking reliefs against the exchange, despite the exchange not being a party to the arbitration agreement.
  • Advising and successfully defending a leading exchange of this country in an appeal preferred by constituents of a defaulter broker who were availing fixed monthly pay-out services. The findings in this case will have a significant impact since fixed pay-outs are against the fundamental nature of any trading activity on the stock exchange.
  • Advising and representing a developer in proceedings before the Bombay High Court and an arbitral tribunal in respect of a dispute arising from a Debenture Trust Deed and a Deed of Personal Guarantee.
  • Advised and represented an NBFC debenture holder by initiating proceedings before the National Company Law Tribunal against the debenture issuer, under section 7 of the Insolvency and Bankruptcy Code, 2016 .
  • Advised and represented minority debenture holders before the Hon’ble Bombay High Court in proceedings under Section 9 of the Arbitration and Conciliation Act, 1996 for securing outstanding amounts due and payable.

  • Representing one of India’s largest players in the food colours and ingredients industry in an arbitration arising from certain breaches in the representations and warranties and other terms of acquisition provided by the seller under a Share Purchase Agreement in favour of the client, and consequential indemnity claims.
  • Advised a Singaporean group company of one of India’s largest online gaming conglomerates in a dispute with a shareholder relating to the enforcement of a put option clause in the shareholders agreement.
  • Advised a large media & entertainment company on the validity and enforceability of demerger proceedings which sought to demerge various business verticles within the company into two separate demerged entities without giving notice to its contingent creditors.
